Terms of Service

Eudaim is operated by Helios Chen, an individual sole proprietor. Our contact details are in Section 17. Payment processing is handled by Waffo Pancake, our Merchant of Record. When you make a purchase, your payment relationship is with Waffo Pancake, but these Terms govern your use of the Eudaim service.

"Service" means the Eudaim website, AI-guided assessment, reports, and related features.

"Report" means the personalized assessment report generated from your conversation inputs.

"Membership" means a quarterly or annual subscription that grants access to a set number of Reports during the subscription period.

"Gift Code" means a prepaid code that can be redeemed for a Report or Membership.

"User Content" means any text, answers, or other information you submit during the assessment.

"AI Content" means content generated by artificial intelligence, including your Report.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using Eudaim, you represent that you meet this requirement. Eudaim is intended for personal self-development and reflection only.

Anonymous use. You may complete an assessment and view a free preview without creating an account. Anonymous Reports are retained for 6 hours.

Account creation. To unlock a full Report or purchase a Membership, you must create an account using your email address and a one-time password (OTP) sent to that email.

Account security. You are responsible for maintaining the security of your email account and any access to your Eudaim account.

Account deletion. You may request deletion of your account and personal data at any time by contacting us. Registered users' Reports are otherwise retained as described in our Privacy Policy.

Nature of the service. Eudaim is a self-development and reflection tool. It provides AI-generated assessments based on your conversation inputs.

Not professional advice. Eudaim is not medical, psychological, psychiatric, therapeutic, or professional coaching advice. It does not diagnose, treat, or cure any condition. The Reports are for reflection and personal growth only.

No professional relationship. Use of Eudaim does not create a doctor-patient, therapist-client, coach-client, or any other professional relationship between you and us.

Reliance. You are solely responsible for any decisions or actions you take based on your Report. We are not liable for any outcomes resulting from your reliance on the Service.

AI limitations. AI-generated content may be incomplete, inaccurate, or inappropriate for your situation. Do not disregard professional advice because of information you receive from Eudaim.

Ownership. You retain ownership of your User Content.

License to us. You grant us a limited, non-exclusive, royalty-free license to use your User Content solely to provide, improve, and secure the Service, including generating your Report.

Privacy in reports. Your PDF Report and downloadable materials do not include your raw conversation transcript, unless you choose to save it separately.

Prohibited content. You may not submit content that is unlawful, harmful, abusive, harassing, defamatory, discriminatory, infringing, or that violates the rights of others.

Pricing. Current pricing is displayed on our website and may vary by region. We offer single Reports, quarterly Memberships, and annual Memberships.

Memberships. Memberships grant access to a fixed number of Reports during the membership period. Unused Reports do not roll over to the next period.

Automatic renewal. Quarterly and annual Memberships automatically renew at the end of each period unless you cancel before the renewal date. Cancellation can be made through your Waffo Pancake account dashboard or by contacting us.

First-purchase discount. New users may receive a one-time discount on their first purchase, as displayed at checkout. This discount cannot be combined with other offers and applies only to the user's first purchase.

Refunds. All purchases, including single Reports, Memberships, and Gift Codes, are final and non-refundable. Reports are personalized digital content generated instantly upon purchase, and Membership benefits begin immediately upon purchase.

Price changes. We may change pricing for future purchases at any time. Price changes do not affect active Memberships during their current term.

Gift Codes do not expire unless otherwise stated at the time of issuance.

Each Gift Code may be redeemed the number of times specified at generation.

Gift Codes are non-transferable, non-resalable, and cannot be exchanged for cash.

Lost or stolen Gift Codes will not be replaced.

Our rights. Eudaim, its name, logo, interface, report templates, prompts, code, and all content except User Content and your Report are owned by us or our licensors.

Your license. You receive a limited, non-transferable, non-exclusive license to access and use the Service and to download your Report for personal, non-commercial use.

Restrictions. You may not copy, modify, distribute, sell, lease, or create derivative works from our Service or any Report template. You may not reverse-engineer, decompile, or extract our AI prompts, models, or methodologies.

You agree not to: use the Service for any unlawful purpose; attempt to reverse-engineer, scrape, or interfere with the Service; share your account credentials with others; use automated means to access the Service; upload content that violates Section 7; or use the Service in a way that could damage, disable, or impair it.

By you. You may stop using the Service and delete your account at any time.

By us. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to us, other users, or the public.

Effect. Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination will survive.

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, and protect your personal data. You have the right to access, correct, delete, and export your data as described in the Privacy Policy and as required by applicable law, including GDPR and CCPA where applicable.

Disclaimer. The Service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation. To the maximum extent permitted by law, our total liability to you for any claim arising from or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid to us in the 12 months preceding the claim, or (b) USD 100.

Exclusion. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if advised of the possibility.

Indemnification. You agree to indemnify and hold harmless Helios Chen from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Disputes. Any dispute arising from these Terms or the Service will first be addressed through good-faith negotiation. If not resolved within 30 days, the dispute may be submitted to the courts located in the State of Delaware, United States.

EU consumers. If you are a consumer resident in the European Union, you may also benefit from mandatory provisions of the law of your country of residence.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect, where required by law. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Waiver. Our failure to enforce any right or provision does not waive that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
